Terms of Service

These Terms of Service ("Terms") govern your access to and use of the software platform and related services provided by HQ Rental Panel ("we", "us", "our"). By registering an account, placing an order, or using our platform, you ("you", "the Client") confirm that you have read, understood, and agree to be bound by these Terms.

Nature of our business. We are a technology company that develops and licenses software. We provide a web-based software platform (a digital product) that our clients rent to operate their own independent online marketing storefront. We do not produce, own, sell, or deliver any social-media outcome, engagement, or end-service ourselves. Any such services are configured and obtained by the Client from independent third-party providers of the Client's own choosing. Our role is limited to supplying and maintaining the software.
Part A — The Service & Your Account
1 Acceptance of Terms

By accessing or using the platform you enter into a binding agreement with us. If you do not agree to these Terms, you must not use the platform. If you use the platform on behalf of a business, you represent that you are authorised to bind that business to these Terms.

2 Eligibility
  • You must be at least 18 years old and legally able to enter into a contract.
  • You must provide accurate, current, and complete registration information and keep it up to date.
  • You must use the platform only for lawful purposes and in compliance with all applicable laws and regulations that apply to you and your business.
3 Definitions
  • Software / Platform — the web-based application, panel, source code, and systems developed and owned by us.
  • Client — the person or business that rents access to the Software.
  • End User — the Client's own customers who interact with the Client's storefront.
  • Third-Party Provider — an independent supplier from whom the Client sources fulfilment services, entirely separate from us.
4 What We Provide (Scope of Service)

We provide the Client with a licensed, hosted software platform and its ongoing technical maintenance. This is a rental of software usage rights only. For the avoidance of doubt:

  • We are a software and infrastructure provider, not a seller of social-media services.
  • We do not generate, guarantee, or supply followers, likes, views, engagement, or any similar outcome.
  • Any fulfilment services offered through a Client's storefront are selected, priced, and obtained by the Client from Third-Party Providers, at the Client's sole discretion and risk.
  • We are not a party to, and accept no responsibility for, transactions between the Client, its End Users, or any Third-Party Provider.
  • The Client provides their own domain. The Software is deployed on a domain that the Client owns. Purchasing, renewing, and maintaining ownership of that domain is the Client's sole responsibility; we do not sell or supply the domain.
5 Software Licence & Ownership

The Software is our exclusive intellectual property. We grant the Client a limited, non-exclusive, non-transferable, revocable licence to use the Software for the rental period only. The Client must not copy, resell, redistribute, sublicense, reverse-engineer, decompile, modify, or disclose the Software, its source code, or its access credentials to any third party. Any breach terminates the licence immediately, without refund, and may result in civil or criminal legal action.

Part B — Fees, Billing & Payments
6 Set-Up Fee

A one-time set-up fee is charged to create, configure, and deploy the Client's software instance on a domain provided by the Client. As this covers work performed and a digital product delivered, the set-up fee is non-refundable under all circumstances. Deployment may take up to 24 hours.

7 Rent & Recurring Billing

Access to the Software is provided on a recurring monthly rental basis. Rent is calculated based on the Client's usage of the platform (such as order volume) and is invoiced automatically for each billing cycle. Rent is separate from and additional to the one-time set-up fee.

8 Payment, Late Payment & Suspension
  • All invoices must be paid in full by their stated due date.
  • If an invoice remains unpaid, the platform may be automatically suspended until the balance is cleared.
  • A suspended platform is reactivated once all outstanding dues are paid.
  • Prolonged non-payment may result in permanent termination and deletion of the platform and its data.
9 Refund Policy

Because we supply a digital product and configured software service, all fees — including the set-up fee and paid rent — are non-refundable, except where a refund is required by applicable law. Discounts or promotional credits, where offered, carry no cash value.

10 Chargebacks & Disputes

If you have a billing concern, you must contact our support team first. Initiating a chargeback or payment dispute without contacting us may result in immediate suspension of the platform pending resolution.

11 Taxes

You are solely responsible for determining, collecting, reporting, and paying any taxes, duties, or government levies that apply to your own business and to your transactions with your End Users in your jurisdiction.

Part C — Acceptable Use & Legal Compliance
12 Acceptable Use

You agree to use the platform lawfully, honestly, and in good faith. You are responsible for all activity that takes place through your account and your storefront.

13 Prohibited Activities

You must not use the platform to engage in, promote, or facilitate any of the following:

  • Any activity that is illegal under applicable local, national, or international law.
  • Fraud, deception, phishing, or the use of stolen, unauthorised, or fraudulent payment instruments.
  • Money laundering, financing of unlawful activity, or evasion of taxes or sanctions.
  • Distribution of malware, hacking, unauthorised access, or interference with any system.
  • Content or services that are unlawful, harmful, or that violate the rights, terms, or policies of any third-party platform.
  • Any use that violates applicable advertising, consumer-protection, or data-protection laws.

We reserve the right to investigate suspected violations and to suspend or terminate any account involved, without refund.

14 Legal Compliance, Identity Verification & Cooperation with Authorities
  • You must comply with all laws and regulations applicable to your business and your use of the platform.
  • We may request identity or business-verification documents and may suspend accounts that fail verification.
  • We cooperate fully with lawful requests from courts and government or regulatory authorities, and may disclose information or take action where required by law.
15 Third-Party Providers & External Services

The platform may allow you to connect to independent Third-Party Providers to fulfil orders on your storefront. Those providers are not owned, controlled, or endorsed by us. We are not responsible for their pricing, legality, quality, availability, delays, or failures, and it is your responsibility to ensure that any service you offer complies with the terms of the relevant platforms and with applicable law.

16 Client & End-User Responsibility

You operate as an independent business. You are solely responsible for your own storefront, your pricing, your End Users, and any orders, refunds, complaints, or support relating to them. Any agreement between you and your End Users is strictly between you and them, and we are not a party to it.

17 Data Protection & Privacy

We process the limited account data needed to provide the platform in accordance with our Privacy Policy. You are the controller of your End Users' data and are responsible for handling it lawfully, including obtaining any consents required in your jurisdiction.

18 Data Access & Export

Your platform data or export is provided only after all pending dues are cleared. We maintain reasonable operational backups but are not liable for any loss of data; you are responsible for keeping your own records.

Part D — Warranties, Liability & Legal
19 Service Availability & Maintenance

The platform is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted uptime, specific performance, or any level of income or results. We may carry out maintenance, updates, or changes, and occasional downtime may occur due to factors within or beyond our control.

20 Disclaimer of Warranties

To the fullest extent permitted by law, the platform is provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. You use the platform at your own risk.

21 Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability for any claim arising from these Terms or the platform shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

22 Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the platform, your storefront, your End Users, your Third-Party Providers, or your breach of these Terms or of any law.

23 Suspension & Termination

We may suspend or terminate your access at any time for non-payment, misuse, breach of these Terms, or unlawful activity. On termination, your licence to use the Software ends immediately, and set-up fees and paid rent remain non-refundable. You may cancel your rental at any time by giving notice; any outstanding dues remain payable.

24 Changes to the Service or Terms

We may modify the platform or these Terms at any time. Material changes will be posted on this page with an updated date. Your continued use of the platform after changes take effect constitutes acceptance of the revised Terms.

25 Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any dispute arising out of or relating to these Terms or the platform shall be subject to the exclusive jurisdiction of the competent courts of Pakistan.

26 General Provisions
  • Severability — if any provision is found unenforceable, the remaining provisions stay in full effect.
  • Entire Agreement — these Terms, together with any policies referenced here, form the entire agreement between you and us.
  • Assignment — you may not assign your rights without our written consent; we may assign ours as part of a business transfer.
  • No Waiver — our failure to enforce any provision is not a waiver of it.
